General Terms and Conditions of Sale

1. Scope of application

These General Terms and Conditions of Sale (hereinafter "GTC") govern all contractual relationships between:

(hereinafter "the Provider")

and any natural or legal person subscribing to the services offered on the Patrivo platform (hereinafter "the Client").

Any registration or use of the service implies unreserved acceptance of these GTC.

2. Description of services

Patrivo is a personal finance management web application that enables the Client to:

  • Track accounts, transactions, and balances
  • Set up and monitor budgets using various allocation rules
  • Create and manage savings goals
  • View analytics and insights on spending

The Provider reserves the right to evolve the features of the service. Material changes will be communicated to the Client with reasonable notice.

3. Registration and user account

Access to the service requires the creation of a personal account. The Client undertakes to provide accurate and up-to-date information and to maintain the confidentiality of their login credentials.

The Client is solely responsible for all activity carried out under their account. In the event of unauthorized use, the Client must notify the Provider immediately.

4. Pricing and payment terms

The service is offered according to the pricing plans displayed on the website at the time of subscription. Prices are indicated in Swiss francs (CHF), inclusive of VAT where applicable.

Payment is made according to the chosen billing cycle (monthly or annual) via the payment methods accepted on the platform. In the event of non-payment, the Provider reserves the right to suspend access to the service after a reminder left unanswered for 10 days.

The Provider reserves the right to modify its pricing. Any change will be communicated to the Client at least 30 days before taking effect. The Client may cancel their subscription before the new pricing applies.

5. Right of revocation

Under Swiss law, there is no statutory right of withdrawal for contracts concluded online (Art. 40a et seq. CO applies to doorstep transactions only). No right of withdrawal or refund applies to subscriptions purchased through the platform.

6. Duration and termination

The contract is concluded for the duration of the chosen subscription period and renews automatically unless terminated by either party.

The Client may cancel their subscription at any time from their account settings. Cancellation takes effect at the end of the current billing period. No pro-rata refund is issued for the remaining period unless otherwise specified.

The Provider may terminate the contract with 30 days' notice. In the event of a serious breach of these GTC, termination may be immediate.

7. Intellectual property

All elements of the service (software, design, brand, content) are the exclusive property of the Provider or its licensors, and are protected by Swiss copyright law (CopA) and applicable international conventions.

The Client is granted a personal, non-exclusive, and non-transferable right to use the service for the duration of their subscription.

8. Client data

The Client remains the owner of all data they enter into the service. The Provider undertakes not to use the Client's data for any purpose other than providing the service.

The Client may at any time export their data or request its deletion in accordance with our Privacy Policy.

9. Limitation of liability

Patrivo is a financial tracking and planning tool. The service does not constitute financial, tax, or investment advice. Any financial decision made based on the information displayed is the sole responsibility of the Client.

To the extent permitted by Swiss law (Art. 100 CO), the Provider excludes all liability for:

  • Indirect, incidental, or consequential damages
  • Data loss resulting from circumstances beyond its reasonable control
  • Temporary service interruptions for maintenance or updates
  • Inaccuracy of data entered by the Client

The Provider's total liability is limited to the amount paid by the Client during the 12 months preceding the event giving rise to the claim. This limitation does not apply in cases of intentional misconduct or gross negligence (Art. 100 para. 1 CO).

10. Warranty and availability

The Provider endeavors to ensure maximum availability of the service, without however guaranteeing uninterrupted access. The service is provided "as is" and "as available".

Scheduled maintenance interruptions will be communicated to the Client where possible. The Provider shall not be held liable for interruptions resulting from force majeure.

11. Data protection

The processing of personal data is governed by the Swiss Federal Act on Data Protection (nFADP) and, where applicable, the EU General Data Protection Regulation (GDPR). For more information, please refer to our Privacy Policy.

12. Modifications to these GTC

The Provider reserves the right to modify these GTC. Material changes will be communicated to the Client by email or through the platform at least 30 days before taking effect.

If the Client does not accept the new terms, they may cancel their subscription before the changes take effect. Continued use of the service after that date constitutes acceptance of the modified GTC.

13. Governing law and jurisdiction

These GTC are governed by the substantive laws of Switzerland, to the exclusion of its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute arising out of or in connection with these GTC shall be submitted to the exclusive jurisdiction of the competent courts at the registered office of the Provider in Vallon (FR), Switzerland, subject to mandatory statutory provisions granting jurisdiction to the courts at the Client's place of domicile (Art. 32 CPC).

14. Severability

If any provision of these GTC is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the intended economic purpose.
